4. Subscriptions

TV REMOTE PRO+ may offer optional auto-renewable subscriptions.

Subscription billing is handled exclusively by Apple.

Subscription renewals, cancellations and refunds are governed by Apple's systems and policies.

The Company does not control Apple's billing processes.

5. Free Trials

Where offered, free trial periods may be provided.

Any unused portion of a free trial may be forfeited upon purchase of a subscription, to the extent permitted by applicable law.

6. Prohibited Conduct

You agree not to:

7. Intellectual Property

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MBR PROPERTY LISTING LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS AND PARTNERS SHALL NOT BE LIABLE FOR:

• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;

• LOSS OF PROFITS;
• LOSS OF DATA;
• LOSS OF BUSINESS;
• LOSS OF REVENUE;

• NETWORK FAILURES;

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

14. Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THE APP SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE USER FOR THE APP OR SUBSCRIPTION DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF NO PAYMENT HAS BEEN MADE, THE COMPANY'S LIABILITY SHALL BE ZERO TO THE EXTENT PERMITTED BY LAW.

15. Force Majeure

The Company shall not be liable for delays, interruptions or failures caused by circumstances beyond its reasonable control, including but not limited to:

• Natural disasters;
• Power outages;
• Internet failures;
• Cyberattacks;
• Government actions;
• Regulatory restrictions;
• Apple requirements;
• Manufacturer restrictions;
• Wars;
• Epidemics;
• Acts of third parties.

16. Indemnification

You agree to indemnify, defend and hold harmless MBR PROPERTY LISTING LTD, its affiliates, directors, officers, employees and contractors from and against any claims, damages, liabilities, costs and expenses arising out of:

• Your use of the App;
• Your violation of these Terms;
• Your violation of applicable laws;
• Your misuse of the App.

17. Right to Modify or Terminate Services

19. Entire Agreement

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted to the maximum extent permitted by applicable law while preserving its original intent.

21. No Waiver

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of any rights.

Any waiver must be made expressly and in writing.

22. Assignment

The Company may assign, transfer, delegate or otherwise dispose of these Terms, in whole or in part, without notice.

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you" or "your") and MBR PROPERTY LISTING LTD ("Company", "we", "our" or "us"), a company incorporated under the laws of the Republic of Cyprus.

This EULA governs your use of TV REMOTE PRO+ ("App").

By downloading, installing, accessing or using the App, you agree to be bound by this EULA.

If you do not agree to this EULA, you must not use the App.

1. License Grant

Subject to compliance with this EULA and applicable Apple rules, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the App solely for personal and lawful purposes.

No ownership rights are transferred.

2. Ownership

The App, including all software, content, interfaces, graphics, technologies and intellectual property rights, remains the exclusive property of MBR PROPERTY LISTING LTD and its licensors.

Nothing in this EULA transfers ownership to the User.

3. Restrictions

You agree not to:

• Reverse engineer the App;
• Decompile the App;
• Disassemble the App;
• Modify the App;
• Create derivative works;
• Circumvent security mechanisms;
• Use the App unlawfully;
• Interfere with the App;
• Attempt unauthorized access;
• Redistribute the App outside authorized channels.

4. Updates

The Company may release updates, modifications, patches or new versions of the App.

The Company has no obligation to:

• Provide updates;
• Continue development;
• Maintain existing functionality;
• Maintain compatibility;
• Support previous versions.

5. Compatibility

TV REMOTE PRO+ is designed to operate with compatible devices only.

The Company does not guarantee compatibility with:

• Every television model;
• Every manufacturer;
• Every firmware version;
• Every streaming device;
• Every iPhone or iPad model;
• Every router;
• Every Wi-Fi environment;

• Every country or region;
• Future technologies.

Compatibility may change over time.

6. No Obligation to Support Devices

The Company reserves the unrestricted right to:

• Remove support for devices;
• Modify compatibility;

The Company shall have no obligation to continue supporting any particular device, manufacturer or platform.

• ALL DEVICES WILL REMAIN SUPPORTED;
• SERVICES WILL ALWAYS BE AVAILABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MBR PROPERTY LISTING LTD, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND PARTNERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;
• EXEMPLARY DAMAGES;
• PUNITIVE DAMAGES;
• LOSS OF PROFITS;
• LOSS OF REVENUE;
• LOSS OF BUSINESS;
• LOSS OF DATA;
• LOSS OF GOODWILL;
• LOSS OF SAVINGS;
• DEVICE FAILURES;
• NETWORK FAILURES;
• SERVICE INTERRUPTIONS;
• THIRD-PARTY ACTIONS;
• COMPATIBILITY ISSUES;
• LOSSES ARISING FROM FIRMWARE UPDATES;
• LOSSES ARISING FROM OPERATING SYSTEM UPDATES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED.

10. Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THE APP SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE APP OR SUBSCRIPTIONS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF YOU HAVE NOT PAID ANY AMOUNT, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Force Majeure

The Company shall not be liable for delays, interruptions or failures caused by circumstances beyond its reasonable control, including:

• Natural disasters;
• Floods;
• Fires;
• Power outages;
• Internet disruptions;
• Cyberattacks;
• Wars;
• Civil unrest;
• Epidemics;
• Government actions;
• Regulatory restrictions;
• Apple requirements;
• Manufacturer restrictions;
• Actions of third parties.

12. Indemnification

You agree to indemnify, defend and hold harmless MBR PROPERTY LISTING LTD, its affiliates, directors, officers, employees and contractors from and against any claims, liabilities, damages, losses, expenses and costs arising out of:

• Your use of the App;
• Your violation of this EULA;
• Your misuse of the App;
• Your violation of applicable laws;
• Claims brought by third parties arising from your actions.

13. Right to Terminate License

The Company reserves the unrestricted right to suspend, restrict or terminate your license to use the App at any time, with or without notice, if:

• Required by law;
• Required by Apple;
• Necessary for security reasons;
• Necessary to prevent abuse;
• Necessary to protect the Company or third parties.

Termination of the license shall not affect provisions intended to survive termination.

14. Trademark Disclaimer

TV REMOTE PRO+ is an independent third-party application.

MBR PROPERTY LISTING LTD is not affiliated with, sponsored by, endorsed by, authorized by, licensed by, approved by or otherwise associated with any television manufacturer, platform provider, streaming service, trademark owner or brand.

All trademarks, logos, trade names, registered trademarks and product names remain the exclusive property of their respective owners.

References to third-party brands are used solely for compatibility and identification purposes.

15. Entire Agreement

This EULA constitutes the entire agreement between you and MBR PROPERTY LISTING LTD regarding the App and supersedes all prior agreements or understandings relating to the App.

16. Severability

If any provision of this EULA is found to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.

17. Survival

The following provisions shall survive termination of this EULA:

• Ownership;
• Disclaimer of Warranties;
• Limitation of Liability;
• Indemnification;
• Governing Law;
• Trademark Disclaimer.

18. Governing Law

This EULA shall be governed by and interpreted in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.

19. Jurisdiction

Any disputes arising out of or relating to this EULA or the App shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Cyprus.
